설명조항 (Whereas Clause)

국제 계약서의 전문에는 계약의 당사자를 표시한 후에 설명조항이 들어가는 일이 많은데, 여기서는 당사자들의 영업내용, 계약체결의 취지나 목적 등을 기재하는 것이 보통이다.

  이러한 설명조항에 법적 구속력이 있는지는 의문이나, 최소한 다음과 같은 2가지 의미는 인정할 수 있다.

  첫째, 상대방이 설명조항에 표시된 계약체결 동기를 신뢰한 경우 에는 표시에 의한 금반언의 법리(estoppel by representation)에 의하여 소송에서 그 표시된 동기에 반하는 주장을 할수 없게 될 것이다.

  그리고 이와같은 설명조항에 기재한 내용을 그 계약의 일방당사자의 상대방에 대한 계약상의 담보내용(warranty)으로 하든가 또는 계약의 조건(condition)으로 하는 경우에는 이를 본문의 합의 내용 중에 삽입해 넣을 필요가 있다.

  설명조항은 계약내용의 해석에 있어서 중요한 의미를 가질뿐, 엄밀한 의미에서 계약의 일부가 되는지는 문제가 되기 때문이다.

  물론 이와같은 설명조항을 모든 계약서에 반드시 넣어야 하는 것은 아니므로 전문에 설명조항을 삽입할 것인가는 개별적이고 구체적인 검토를 요한다.

  다음은 설명조항의 일례이다.

  WHEREAS, Buyer is engaged in the business of developing markets for the sale of certain leather wearing apparel and has expended considerable time, effort and expense in the development of the same, and as a consequence has obtained and expetcs to obtain various formal order for such goods;

  WHEREAS, Buyer desires to purchase such goods as well as additional similar goods from Seller; and

  WHEREAS, Seller is engaged in the manufacture of leather wearing apparel and desires to manufacture the same to Buyer's specifications and to sell the same exclusively to Buyer.
